Terms of Service

The contract between you and Operator AI LLC. Subscription, verified-win billing, OAuth grants, refunds, and the rules of the road.

1. Agreement

These Terms of Service ("Terms") are a contract between you (the business owner or authorized representative, "you") and Operator AI LLC ("Operator", "we"). By creating an account or using the operator.fyi service, you agree to these Terms, the Privacy Policy, the Acceptable Use Policy, the AI Use Policy, and the Cookie Policy.

2. The service

Operator is a software service that runs autonomous business agents on your behalf. The agents draft and execute work in the systems you connect, such as replying to reviews, posting on Google Business Profile, sending invoice reminders, and surfacing market signals. You remain responsible for the business activities those agents perform.

3. Account and authorization

You must provide accurate signup information and keep it current. You are responsible for the activity of every user you authorize on your account.

When you connect a third-party account (such as Google Business Profile, Stripe, email, SMS, or another provider), you grant Operator permission to read from and write to that account on your behalf, within the scope of the OAuth grant you authorize at the provider. That permission is what enables the agents to post, reply, send, and invoice for you. You can revoke a connection at the provider at any time; doing so will stop the relevant agent work.

4. Subscription, wins, and billing

The service is billed in two parts:

  • Subscription: $49 per month, recurring, charged in advance. The subscription keeps your agents enabled and your business brain active.
  • Verified-win fee: $1 per verified win an agent produces for you. Verified-win charges are batched and billed once your accrued verified wins reach the $50 threshold, or on cancellation, whichever comes first.

A "verified win" is an outcome an agent produced that we can attribute to that agent and verify through a connected system of record (for example: a booked job traced to a confirmation in your calendar; a recovered invoice traced to a payment in Stripe; a new customer traced to first-job-at in your customer history). The verification rules are published in product and may be updated as new integrations ship; updates apply only to wins produced after the update takes effect.

All amounts are in US dollars and exclude any sales, use, or value-added tax that may be required. You authorize us, through our payment processor, to charge the payment method on file for amounts due under these Terms.

5. Cancellation and refunds

You can cancel your subscription at any time from your account settings. On cancellation:

  • Subscription: the unused portion of the current monthly period is refunded on a pro-rated basis.
  • Accrued verified wins: any verified wins accrued but not yet billed are invoiced at cancellation at the standard $1 per win rate.
  • Settled wins: verified wins that have already been billed are non-refundable. The work was delivered and the outcome was verified.

If you believe a verified win was charged in error (for example, the attribution is wrong or the underlying event did not happen), contact us within 30 days of the charge and we will investigate and, if appropriate, refund the $1 fee for that win.

6. Your data and content

You own the data you bring into the service and the content your agents produce on your behalf. You grant Operator a limited license to process that data and content solely to operate the service for you, as described in the Privacy Policy. We do not sell your data and we do not use it to train shared models.

7. Acceptable use

Use of the service is subject to the Acceptable Use Policy. We may suspend or terminate accounts that violate the AUP or applicable law.

8. Agent autonomy and human oversight

Operator agents act autonomously within the limits you configure. You are responsible for reviewing actions that require human judgment (legal, regulated, or contractual decisions) before they take effect. Operator surfaces an audit log of every action an agent takes on your behalf so you can review and dispute.

9. Warranties and disclaimer

Operator provides the service "as is". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or produce any specific business outcome.

10. Limitation of liability

To the maximum extent permitted by law, Operator's total liability for any claim arising out of or relating to these Terms or the service is limited to the amounts you paid us for the service in the twelve months immediately preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or lost data.

11. Indemnification

You agree to indemnify and hold Operator harmless from any third-party claim arising out of your use of the service, your content, your violation of these Terms, or your violation of law.

12. Termination

We may suspend or terminate your account for material breach of these Terms, non-payment, or activity that puts the service or other customers at risk. On termination, your right to use the service ends; the sections of these Terms that by their nature should survive (for example, billing, disclaimers, limitation of liability) survive.

13. Changes to these Terms

We may update these Terms as the product evolves. Material changes will be communicated through the in-product notification surface or by email to your account address before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Wyoming, and you and Operator consent to the personal jurisdiction of those courts.
